1. Acceptance of Terms
By accessing or using the services provided by TRIAH ("Trust & Ratings for AI in Healthcare," "we," "our," or "us"), including our website, validation and certification programs, advisory services, and any related platforms or tools, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.
These Terms apply to all visitors, users, clients, and others who access or use our services, whether on behalf of themselves or an organization.
2. Description of Services
TRIAH provides independent validation, certification, and advisory services for healthcare AI products. Our services include but are not limited to:
- Product Evaluation & Certification against TRIAH's 8 Standards of Validation
- Advisory and consultancy services for AI vendors and healthcare organizations
- Organizational maturity evaluations for AI readiness
- Policy and procedure development for AI governance
- Access to the TRIAH AI Marketplace (when available)
We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice.
3. Eligibility
You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. By using our services, you represent and warrant that you meet these eligibility requirements.
4. User Accounts and Submissions
When you submit information through our website or engage with our services, you agree to:
- Provide accurate, current, and complete information
- Maintain the accuracy of your information and update it as necessary
- Accept responsibility for all activity that occurs under your account or submission
- Not impersonate any person or entity, or misrepresent your affiliation with any person or entity
We reserve the right to refuse service, terminate accounts, or cancel submissions at our sole discretion.
5. Certification and Validation
TRIAH certification and validation results are based on our proprietary evaluation framework and represent our independent assessment at the time of evaluation. Certification does not constitute a guarantee of product performance, safety, or regulatory compliance.
- Certification tiers are awarded based on compliance with TRIAH's 8 Standards of Validation at the time of assessment.
- Certifications are valid for a defined period and subject to re-assessment.
- TRIAH reserves the right to revoke, suspend, or modify certifications if standards are no longer met or if information provided during the evaluation is found to be inaccurate.
- Certified organizations may use TRIAH certification badges in accordance with our brand usage guidelines.
- Certification results are confidential and will not be disclosed to third parties without the client's consent, except as required by law.
6. Intellectual Property
All content, materials, trademarks, logos, and intellectual property displayed on our website and used in connection with our services are the property of TRIAH or its licensors and are protected by applicable intellectual property laws.
- You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent.
- TRIAH certification badges and marks may only be used by certified organizations in accordance with our brand guidelines.
- Our evaluation frameworks, methodologies, and standards are proprietary and may not be replicated or distributed.
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of our services. This includes, but is not limited to, product specifications, evaluation results, business strategies, and technical documentation. Confidentiality obligations survive the termination of any service agreement.
8. Limitation of Liability
To the maximum extent permitted by applicable law, TRIAH and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of our services.
Our total liability for any claims arising under these Terms shall not exceed the amount paid by you to TRIAH for the specific service giving rise to the claim during the twelve (12) months preceding the event.
9. Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
TRIAH does not warrant that our services will be uninterrupted, error-free, or completely secure. We do not guarantee that certification or validation will result in regulatory approval, market success, or any particular outcome for your product or organization.
10. Indemnification
You agree to indemnify, defend, and hold harmless TRIAH and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
- Your use of our services
- Your breach of these Terms
- Your violation of any applicable law or regulation
- Any inaccurate or misleading information you provide to us
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved through good-faith negotiation. If a resolution cannot be reached, the dispute shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
12. Termination
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use our services will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, confidentiality, limitation of liability, and indemnification provisions.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services following the posting of changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
